We're proposing three small updates to our bylaws to help Sandbox run a little smoother. Each one is below in plain language, with the exact "before" and "after" text so you can see precisely what changes.

1. Let the board keep our official home address up to date

What this does: Today our bylaws lock our official seat to one city. This change lets the board move Sandbox's registered seat anywhere in Switzerland when it makes sense — no full member vote needed each time.

Now:

Its registered office is in Lucerne.

New:

The seat of the association is in Switzerland, at the place of its administration as determined by the board of directors. The board of directors may relocate the seat to any location in Switzerland and shall register the change with the commercial register accordingly.

2. A shorter heads-up before a General Assembly

What this does: Cuts the notice period from four weeks to two, so we can gather the community faster when we need to.

Now:

Members shall be invited to the meeting at least four weeks in advance in conjunction with a written list of the agenda items. Invitations may be sent out by electronic mail or another transmission method.

New:

Members shall be invited to the meeting at least two weeks in advance in conjunction with a written list of the agenda items. Invitations may be sent out by electronic mail or another transmission method.

3. A matching deadline for adding items to the agenda

What this does: Since the heads-up is shorter, this brings the deadline for submitting your own agenda items from six weeks down to ten days — so you can still have your say.

Now:

Submissions to the general assembly shall be sent in by electronic mail or another transmission method to the board of directors at least 6 weeks prior to the general assembly.

New:

Submissions to the general assembly shall be sent in by electronic mail or another transmission method to the board of directors at least 7 days prior to the general assembly.
